WAIVER AND RELEASE OF LIABILITY AGREEMENT

This Waiver and Release of Liability Agreement (“Agreement”) is entered into by and between [Wilkins Capital], including its owners, officers, employees, agents, successors, and assigns (collectively, “Provider”), and the undersigned purchaser (“Customer”).

By purchasing, accessing, or otherwise using any words, phrases, terms, or related materials (collectively,”MCA keys”) provided by Provider, Customer agrees to be legally bound by the terms of this Agreement.

1. Assumption of Risk

Customer voluntarily assumes all risks associated with the selection, interpretation, and application of Words/Keys, including but not limited to:
- Financial or commercial outcomes;
- Reputational, creative, or legal consequences; and
- Any disputes arising from third-party claims relating to Customer’s use of Words/Keys.

All IOMCA Products and services only activate for those who are 18+.
All sales are final.

2. Release of Liability

To the maximum extent permitted by law, Customer hereby releases, waives, and forever discharges Provider from any and all liability, claims, demands, actions, or causes of action, whether known or unknown, arising out of or in any way connected with Customer’s purchase, use, or reliance on Words.

3. No Warranty

Provider expressly disclaims any and all warranties, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, originality, or exclusivity of the Words/Keys.

4. Indemnification

Customer agrees to defend, indemnify, and hold harmless provider from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable attorney’s fees) arising from or relating to Customer’s use of the Words/Keys and the IOMCA products.

5. Severability

If any provision of this Agreement is found to be invalid or unenforceable under applicable law, the remaining provisions shall remain in full force and effect.

6. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the respective state where a MCA Policy is purchased, without regard to conflict of law principles.

7. Entire Agreement

This Agreement constitutes the entire agreement between the parties with respect to the subject matter herein and supersedes all prior or contemporaneous understandings, whether written or oral.

8. Acknowledgment

By using Wilkins Capital products, Customer acknowledges that they have carefully read and fully understand the terms of this Agreement, and that they are voluntarily giving up substantial legal rights, including the right to sue.
